정부는 “금융업 경쟁력 강화방안” 정책에 대한 세부추진방안으로서 사모펀드 활성화를 위한 자본시장법 일부개정법률안을 내놓았다. 사모펀드 시장은 꾸준한 성장세를 유지하고 있으며, 향후
높은 성장 잠재력도 있다고 평가된다. 그럼에도 불구하고 사모펀드 규제를 자율화하고 있는 세계
적 추세와 달리 우리나라는 상대적으로 엄격히 규제하고 있다. 세계의 자본흐름 속에서 국내 자본
시장을 건전하면서도 강하게 성장시키기 위해서는 사모펀드를 활성화 시킬 필요가 있다.
이러한 자본시장의 활성화를 위한 규제합리화는 투자자보호와의 절충 속에서 이루어져야 한다.
장기적인 모험자본을 조성하고 이를 통해 혁신경제를 달성하기 위해서는 자본시장의 역동성 제고
와 규제완화가 필수적인 반면에, 상품이 복잡해지고 다양해지는 가운데 정보획득에 취약할 수밖에
없는 투자자를 보호해야 할 필요성 또한 당연히 요구된다. 이러한 두 목적 사이의 조화를 찾는
것이 자본시장법의 규율체계가 나아가야 할 방향이다. 이러한 목적에 비추어, 사모집합투자의 구
조에 따라 기관별로 그 규제 내용에 대해 이번 개정안을 검토하였다.
우선 집합투자업자와 관련하여서는 사모투자 전문운용사의 신설과 함께 사모집합투자업자 등
록 요건이 완화되었다. 이는 규제의 합리화를 통해 운용사들이 사모펀드 구성을 쉽게 시도할 수
있도록 한 것이다. 또한, 경영참여형 사모집합투자기구 업무집행사원의 요건에 건전 재무 상태와
사회적 신용을 요구함으로써 사모펀드의 투명성을 강화하여 투자자 보호를 도모함으로써 목적간
조화를 도모하고 있다.
집합투자기구와 관련하여서는 사모집합투자기구를 전문투자형 집합투자기구와 경영참여형 집합투자기구로 이원화하였다. 이는 기존의 다각화되어 있던 사모펀드 규제를 단순화하여 운용사들
의 사모펀드 규제를 용이하게 한 것이다. 또한 사모집합투자기구의 설립을 사후등록제로 일괄 규
정함으로써 실무자들의 접근을 용이하게 하였다. 이러한 완화와 규제합리화 과정을 통해 적어도
사모펀드의 경우에 있어서는 단순화 된 규제속에서 업무를 진행할 수 있게 되었다. 특히 전문투자
형 집합투자기구의 경우, 일정한 요건 하에서 직접 판매를 가능하게 함으로써 투자 비용을 절감할
수 있게 되었다. 반면 직접 판매로 인한 부작용인 투자자보호의 약화 측면을 보강하기 위하여 고
객조사의무와 광고 규제 등을 추가함으로써 규제완화와 투자자보호의 조화를 찾고자 하였다.
투자자에 있어서는 일반투자자를 제외하고 적격투자자만이 참가 가능하게 하였다. 이는 사모펀
드의 전문성을 높임과 동시에 투자자를 보호하고자 한 것이다. 한편, 이로 인해 제외된 일반투자자
의 참여기회를 보장하기 위하여 사모투자재간접펀드 제도를 도입하여 규제에 있어서 국제적 규제
상황에 맞추고자 하였다. 사모펀드를 활성화 하면서도 일반투자자를 보호하는 장치를 한단계 더
거치게 함으로써 목적간 조화점을 찾고 있는 것이다.
반면, 이 사모투자재간접펀드가 일반투자자의 접근성보장, 정보 획득 및 투자자보호의 측면에
비추어 적절한 방법인지에 대해서는 의문이 있다. 이중수수료를 통해 적격투자자에서 일반투자자
로의 비용부담이 이전될 수 있어 일반투자자에게 추가부담을 안기는 결과가 발생할 수 있고, 이렇
게 재간접펀드를 거침으로 인해 오히려 일반투자자의 신뢰도 하락 등 전문적 보호의 실효성이 감
소될 수도 있다. 또한 일반 재간접펀드에게도 사모펀드에 대한 투자를 일정부분 허용하게 되면서
일반투자자 보호라는 취지에 모순이 생길 수 있다는 의문점도 있다. 따라서 향후 시행령 제정 등
이러한 공백을 보완할 수 있는 합리적인 규제와 정비가 필요하다.
개정안은 고위험·고수익을 추구하는 사모펀드의 특성이 잘 발휘될 수 있는 환경 조성을 통해
사모펀드 활성화와 자본시장 역동성 제고가 가능하도록 도모하고 있다. 다만, 위에서 언급한 점들
에 대한 보완을 통해 안정적인 사모펀드 시장을 구축하고 이 사모펀드를 중심으로 자본시장에서
모험자본 역할이 강화될 수 있도록 하여야 한다. 그로써 중소·벤처기업 시장에 자금공급과 자금
회수 등이 활발해져 자본시장이 활성화 되면, 사모펀드가 역동적 혁신경제의 핵심 역할을 수행하
게 될 것이다.
영어 초록
Korean Government proposed the amendments of CAPITAL MARKETS ACT (hereinafter "TheAmendments") focused on revitalization of the privately placed fund as a detailed measure of
"Financial Services Competitiveness Reinforcement Plans". The market of the privately placed
fund has been analysed to have great potential and to grow as maintaining persistent registered
growth. However, unlike the world-wide trend to diminish regulation on the privately placed
fund, Korean Government has regulated the market relatively strictly. Therefore, it is necessary
to put reinforcement on the Privately placed Fund market for Korean capital market to thrive
with the integrity in competitive world capital market.
As the solution to gain such goals, the rationalization of regulation should compromise with
the protection of investor. To achieve the innovative economy through raising 'the Venture
Capital' based on financial market dynamics, the deregulation and revitalization of the financial
market is essential. However, it is vital to protect the investor who has limited access to
information in circumstances of the complexification and the diversification of the financial
product. To harmonize the two directives is what regulation system of Capital Market Act
should aim. Upon this, The Amendments were analysed by constituents with the consideration
of the structure of privately placed fund.
On the Capital Market Act, The organization of the fund include 'the Collective Investment
Business', 'the Collective Investment Scheme', 'Investors', and 'the Trust company' as
constituents. And it is systematized as 'the management of that scheme's invested capital'. After
identifying the general concept of the privately placed fund and the characteristics of PEF, we
will review possible influences of The Amendments to each constituents. Overall, The Amendments were found to be a reform to maintain the reconciliation between the
reasonability of alleviation of regulation and the investor protection in the privately placed
fund.
In details, for the Collective Investment Business, the registration requirement of the
Investment Operator of the privately placed fund is simplified because of the introduction of
the privately placed fund management company. This makes easy for management company
to compose the privately placed fund with the rationalization of regulation. Moreover, the PEF's
executive partner is demanded to have good financial standing and social credibility to
reinforce the transparency for investor protection.
Further, the Collective Investment Scheme of the privated placed fund will be divided into
'Hedge Fund' and 'PEF'. It simplified the diversified regulation on the privated placed fund to
enhance the accessibility. The Post-Registration of the privately placed fund was integrated for
Practitioners of financial market to access at ease. This relaxation and rationalization of
regulation is expected to the privately placed fund to be raised without irrelevant regulation.
Especially for Hedge Fund, there has been a way to save investment costs by permitting direct
sales under certain requirements. On the other hand, to relieve the side effect of the direct
sales on investor protection, the duty of customer investigation and advertising regulations was
added to reconcile the two directives of the Amendments.
As investors, it is required to attain expertise to participate which also strengthens the
investor protection. On the other hand, to secure the participation of the Ordinary Investor,
'the fund of the privately placed fund' is introduced to meet global regulation criteria. It is
certainly reconciling the way to invigorate the privately placed fund and to protect 'the
Ordinary Investor'.
However, it is questionable that the fund of the privately placed fund is the right solution
to secure the accessibility to the market and information for the Ordinary Investor as well as
the investor protection. The burden of expenses can be passed over from the Professional
Investor to the Ordinary Investor by the double charge of the fund. This could add burdens
to the Ordinary Investor as well as diminishing the trust of the Ordinary Investor in financial
market and the investor protection. Moreover, it could be contradictory to allow ordinary fund
of funds to invest the privately placed funds for certain amount because it can harm the
protection of the Ordinary Investor. Therefore, it is required to amend the future enforcement
decree to fill in to rationalize the threats of The Amendments.
The Amendments obliged privately placed funds en bloc to entrust invested asset to the trust company to monitor the asset management more efficiently.
Also, we review the management of the invested capital according to the dualized
classification. First, for the Hedge Fund, the Total Risk Management System is introduced to
raise the independency and efficiency of the management. This also may result in better
investor protection. Second, for PEF, the current regulation is to be secured while affirming
the flexibility to enhance the independency of asset management to obtain the goals easily.
To conclude, The Amendments are estimated to be designed to structure a friendly
environment for the Privately placed Fund's nature seeking high risk and high return in order
to accelerate the dynamics and invigoration of financial market. With compensating minor
defects as mentioned earlier, The Amendments will take a important role in revitalizing the
privately placed fund. So, the growth of the venture capital will help that the small and
medium-sized businesses or venture companies invigorate the funding and the collection, and
then the Innovative Economy will be achieved
